SERVICE AGREEMENT

Company Disclosure
Key Consulting Group, LLC, a Pennsylvania based Internet Design and Consulting company offers individuals and companies (the client) with little or no computer programming experience the opportunity to participate in various affiliate marketing programs that offer a paid commission of every completed sale that is generated by the Client's web site.

Cancellation and Refund Policy Disclosure
The Client may cancel his or her service at any time, but will receive no refund of any monies paid to Key Consulting Group, LLC prior to the date of cancellation except if the client has purchased a Niche Custom Site or Reality Custom Site. If client has purchased a Niche or Reality Custom Site from Key Consulting Group, LLC client will have 10 days from the date the site or sites is emailed to client to request his or her Money Back. This Money Back will be minus processing fees, which are currently $125.00 per niche custom site and $175.00 per reality custom site. Client must send a fax or email requesting such within 10 days. For the Niche Small Business Plan there is a strict NO REFUND POLICY. With the Niche Small Business Plan you are purchasing a web site "as is".

Profit Potential Disclosure
No service or program offered by Key Consulting Group, LLC is guaranteed to make you a certain amount of money. Key Consulting Group, LLC points out to all clients that this program is for long-term business people and not a get rich quick scheme. Although each of the programs offered by Key Consulting Group, LLC have been tried and tested to provide profitable returns, there is no way that Key Consulting Group, LLC can guarantee or project any specific return on investment to the client.

Domain Name Ownership Disclosure
Any and all domain names that Key Consulting Group registers for clients will be the sole property of the client. Client does not rent or lease the domain name. Client owns the domain name. Key Consulting Group, LLC will register the domain name for client for the first year client is in business. After this first year, client will be responsible for the renewal of the domain name. If client cancels his or her web site that Key Consulting Group has built for client, the domain name will remain sole property of client.

Hosting Disclosure
1st year hosting is FREE for all niche and reality sites purchased by client. Key Consulting Group, LLC purchases the domain names for client and hosts them for FREE for the first year. Hosting fee for the second year for client will be $100.00 per year per site if paid in the first 30 days of the second year of hosting. Key Consulting Group, LLC will work out a monthly hosting payment plan with client if client cannot afford to pay the annual hosting fee upfront. If there is an annual payment plan hosting option requested by the client the hosting fee for the year will total $150.00 which would be made in quarterly payments of $37.50 each quarter. If hosting fee is late by 30 days Key Consulting Group, LLC reserves the right to remove clients site or sites from the Internet until payment is made.

Marketing Disclosure
Doing business as Niche Site Design, Key Consulting Group, LLC offers all clients Search Engine Optimization Guidance for all the sites client has purchased from Niche Site Design for the life of the account. SEO Guidance is provided via phone and email. Please note Niche Site Design does not perform hands on SEO for clients. Niche Site Design does not make any physical changes to clients website.

Affiliate Rules And Regulations Disclosure
All clients must abide by the rules and regulations of each and every content provider Niche Site Design has agreements with. Each content provider has their own rules governing what you can and cannot do with their content. Please read all rules and regulations of an affiliate of the content provider. These content providers have the ability to withdraw your right to utilize their content for violating their written rules. When in doubt just ask either Niche Site Design or the Affiliate Program Manager.

Adult Entertainment and Internet Gambling Disclosure
All web site(s) offered by Key Consulting Group are programmed to offer a variety of products and services, which are only to be viewed by adults over the age of 18. As laws regarding the sale and marketing of adult products and related services will vary from county-to-county, state-to-state, or country-to-country, it is the sole responsibility of the client to perform their own due diligence. Key Consulting Group, LLC will make certain that client is legally compliant in their advertising and marketing.

Performance Disclosure
Key Consulting Group, LLC shall not be held liable for the lack of performance or service interruption of any web server, telephone router, or any other equipment integral to the delivery of products and services offered by the Client's web site(s) when such interruption of service was caused by an act of god, public enemy, war, riot, storm, earthquake, fire, explosion, or by any other act outside the immediate control of Key Consulting Group, LLC. If the primary producer (creator) of the content or the creator of an affiliate program closes down a particular web site affiliate program or goes out of business, Key Consulting Group, LLC cannot be held liable for this. This is out of the control of Key Consulting Group, LLC.

Notification Disclosure
Any notice required under this agreement shall be in the form of writing or email. All written notices are to be delivered to the office of Key Consulting Group, LLC at 772 East Providence Road, Suite 204B, Aldan, PA 19018. Email notices are to be sent to service@nichesitedesign.com and should be sent with a "read receipt". Any unresolved disputes between the client and Key Consulting Group, LLC shall be litigated in the legal jurisdiction of Delaware County in the State of Pennsylvania.

Transfer and Sale Clause
The client may sell, trade, or otherwise assign their web site(s) to another party under the same terms of this service agreement. Key Consulting Group, LLC charges a one-time reprogramming fee of $175.00 to the client in advance of any such transfer.
Commission and Pay-Out Schedule
The client will be paid a commission of every completed sale per the pay-terms located on exhibit A of this agreement, or by referring to http://www.NicheSiteDesign.com/niche-site-design-commissions.html

Agreement Acceptance
As witnessed by my signature below, I affirm to have read, understand, and fully agree to the terms of this service agreement. If paying any portion of my setup fees by credit or debit card, I further agree to repay the charges to my card-issuing bank per my cardholder agreement.
